restauWant Engine — SaaS License & Subscription Terms

These SaaS License & Subscription Terms (“Agreement”) govern access to and use of the restauWant Engine platform (“Service”), provided by restauWant LLC, a U.S. company registered in Delaware (“Provider”, “we”, “our”).
By activating a license, accessing the Service, or submitting payment, the customer (“Customer”, “you”, “your”) agrees to the terms below.
1. License Grant
1.1 Subscription License.
Provider grants Customer a non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service for internal business operations related to managing marketing, analytics, and revenue attribution for the Customer’s owned or managed restaurant brands or locations.
1.2 Scope.
“Brands” and “Locations” are defined at onboarding and govern pricing. Additional brands/locations require license expansion and may incur additional fees.
1.3 Restrictions.
Customer may not:
a. Reverse engineer, copy, modify, or create derivative works of the Service.
b. Use the Service as the basis of a competing product.
c. Resell, lease, or white-label the Service unless formally contracted under a separate Agency License.
d. Circumvent user limits, brand limits, storage limits, or refresh thresholds.
e. Access the Service for purposes of benchmarking or competitive analysis.
2. Access & Availability
2.1 Service Levels.
Provider will use commercially reasonable efforts to maintain availability, except during:
a. Scheduled maintenance;
b. Unplanned outages outside Provider’s reasonable control;
c. Integration outages caused by third-party platforms (Google, Meta, POS systems, email providers, etc.).
2.2 Data Refresh & Integrations.
a. Standard data refresh occurs nightly.
b. Higher-tier plans may receive more frequent refresh intervals.
c. Refresh rates depend on third-party API limits and attribution windows (e.g., Google Ads attribution delays).
d. Provider is not responsible for delays or inaccuracies originating from third-party platforms.
3. Customer Data
3.1 Ownership.
Customer retains all rights to Customer Data, including POS data, marketing performance data, and content imported into the platform.
3.2 License to Provider.
Customer grants Provider a limited license to use Customer Data solely to:
Provide and improve the Service
Maintain integrations
Generate aggregated, anonymized analytics
3.3 Aggregated Data.
Provider may use anonymized, aggregated data for benchmarking, platform improvement, and industry insights. No identifying information will be disclosed.
3.4 Data Security.
Provider will maintain commercially reasonable administrative, physical, and technical safeguards to protect Customer Data.
3.5 Data Storage Limits.
Plans include specific storage tiers:
Starter: 50 GB
Growth: 200 GB
Premium: 500 GB
Exceeding storage tiers may incur additional fees.
4. Fees, Billing & Payments
4.1 Subscription Fees.
Fees are based on:
Plan tier,
Number of brands,
Storage tier, and
Refresh frequency (when applicable).
4.2 Billing.
Subscriptions auto-renew monthly unless canceled with written notice (see Section 8).
4.3 Setup Fees.
Some plans include onboarding and verification setup fees, which are due upfront and non-refundable.
4.4 Payment Terms.
Payment is due immediately upon activation. Failure to pay may result in suspension.
4.5 Changes in Brand Count.
Adding brands or locations immediately increases subscription fees, billed prorated for the remainder of the billing cycle.
5. Confidentiality
Both parties agree to maintain the confidentiality of proprietary information disclosed during the term of the Agreement.
6. IP Ownership
6.1 Provider IP.
The Service, software, features, workflows, integrations, UX/UI, and all associated technology remain the exclusive property of Provider.
6.2 No Rights Granted.
Customer gains no ownership rights to the Service or its underlying code, models, integrations, attribution logic, or reporting structures.
7. Acceptable Use
Customer agrees not to:
a. Interfere with platform functionality or security features.
b. Attempt unauthorized access to other accounts or systems.
c. Introduce malicious code.
d. Use the platform to violate privacy or advertising policies of third-party integrations.
Provider may suspend access for suspected violations.
8. Term & Termination
8.1 Term.
This Agreement begins on the Activation Date and continues month-to-month until canceled.
8.2 Cancellation.
Customer may cancel at any time by providing written notice. Previous charges are non-refundable.
8.3 Termination for Breach.
Provider may terminate immediately if Customer materially breaches the Agreement or misuses the Service.
8.4 Effect of Termination.
Access to the platform terminates at the end of the billing cycle.
Customer may export data for up to 30 days post-termination.
9. Warranties & Disclaimers
9.1 Service Provided As-Is.
Provider does not guarantee uninterrupted or error-free operation and is not responsible for inaccuracies resulting from third-party data providers.
9.2 No Liability for Decisions.
Insights, metrics, and attribution results are tools to support decision-making; Provider is not responsible for business outcomes or results.
10. Limitation of Liability
To the fullest extent permitted by law:
Provider’s total liability will not exceed the fees paid by Customer in the previous 12 months.
Provider is not liable for loss of revenue, profits, goodwill, or indirect damages.
11. Miscellaneous
11.1 Assignment.
Customer may not transfer this Agreement without written consent.
11.2 Governing Law.
This Agreement is governed by the laws of the State of Delaware.
11.3 Modifications.
Provider may update terms with written notice; continued use constitutes acceptance.
